Terms of Service

1. Agreement

By accessing or using Zoneless Cloud ("the Service"), you agree to be bound by these Terms of Service. The Service is operated by Zoneless ("we", "us", "our"). If you do not agree, do not use the Service.

2. Service Description

Zoneless is open-source software that provides an API and dashboard for marketplaces to coordinate their own USDC payouts on the Solana blockchain. Zoneless does not move, hold, custody, or transmit funds — all transactions are initiated and signed by the platform operator using their own wallet. The Zoneless Cloud Service includes hosting of the Zoneless software (API, dashboard, database), infrastructure management, and software updates.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organisation. By using the Service, you represent that you meet these requirements.

4. Your Account

You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at hello@zoneless.com if you suspect unauthorised access.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Facilitate money laundering, fraud, or terrorist financing
Process payments for prohibited goods or services
Interfere with or disrupt the Service or its infrastructure
Attempt to gain unauthorised access to any part of the Service
Resell access to the Service without our written consent

We reserve the right to suspend or terminate your account if we reasonably believe you are in breach of these terms.

6. Cryptocurrency and Compliance

Zoneless is software tooling only. It does not take custody of, hold, control, or transmit funds at any point. All blockchain transactions are initiated and signed by you, the platform operator. You are solely responsible for compliance with all applicable laws and regulations in your jurisdiction, including but not limited to anti-money laundering (AML), know-your-customer (KYC), and money transmission laws.

7. Fees and Payment

Subscription fees are billed monthly through our payment partner, Paddle. All prices are in USD. Paddle acts as the Merchant of Record and handles tax collection where applicable. Zoneless does not take any percentage of your payout volume — you only pay the flat subscription fee and Solana network transaction fees.

8. Availability and Support

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We provide email support for Zoneless Cloud customers. We are not responsible for downtime caused by third-party services, including the Solana network, MongoDB Atlas, or cloud infrastructure providers.

9. Data and Security

We store your platform configuration, connected account data, and transaction records in a managed MongoDB database. We do not store private keys or wallet seed phrases. See our Privacy Policy for details on data handling.

10. Intellectual Property

The Zoneless open-source software is licensed under its respective open-source licence. The Zoneless Cloud Service, including its infrastructure, branding, and proprietary tooling, remains the property of Zoneless.

11. Limitation of Liability

To the maximum extent permitted by law, Zoneless shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. This includes but is not limited to losses from failed or delayed blockchain transactions, fluctuations in cryptocurrency value, or third-party service outages. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

12. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your billing portal. Upon termination, your access to the Zoneless Cloud Service will end at the close of your current billing period. We may export your data upon request within 30 days of termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
